Senior Counsel/Associate General Counsel, Corporate and Contracts

The Senior Counsel/Associate General Counsel, Corporate and Contracts, will impact the organization by responsibly executing on corporate strategic and tactical legal initiatives and providing in-house legal services to leadership and employees. The attorney will be directly involved in negotiating critical contracts, overseeing the customer contracting process, helping to streamline the customer contracting process, and leading complex business transactions. In addition, the attorney will be responsible for supporting a number of corporate level initiatives including relating to privacy and security. The attorney will also be responsible for providing guidance and support of legal matters across all business functions, including commercial, litigation and disputes, regulatory and privacy and security. The position is expected to grow in the short-term.

Who you are:

  • 4 to 8 years of experience as an attorney with a current, active license to practice law in the state in which you reside.
  • Substantial experience as a corporate or commercial contracts attorney drafting and negotiating contracts.
  • Juris Doctorate
  • Must be a self-starter with a proactive attitude and desire for growth.
  • Creative innovative team player with positive attitude who displays discretion and sound judgement in all legal matters.
  • Must be a professionally driven personality as the attorney is expected to grow dramatically in ability and areas of expertise over the short and long term.
  • Must have excellent interpersonal skills, able to negotiate difficult and technical legal issues while continuing engender goodwill with potential clients.
  • Strong research, drafting, negotiating and analytical skills; must be detail oriented and highly organized.
  • Excellent oral skills: ability to communicate effectively in presentations and express complex strategies in an organized and articulate manner and have executive presence during meetings with clients.
  • Must be responsive and flexible to a variety of business needs, able to manage multiple priorities, and adapt quickly.
  • Austin, Texas location a plus.
  • SaaS experience, privacy, and security law experience a plus.
  • In-house experience managing commercial or customer contracting function a plus.
  • Law firm experience a plus

How you’ll Contribute:

General Corporate and Contract Law (80%)

  • Negotiate and draft customer contracts for AudioEye’s software and services.
  • Help to streamline and create a more efficient customer contracting process while maintaining flexibility for contracts with larger customers.
  • Assist in the continuous improvement of AudioEye’s corporate compliance program, including relating to privacy and security.
  • Draft and review a variety of commercial contracts, including consulting agreements, NDAs, employment related agreements, leases, vendor agreements, independent contractor agreements, and licenses related to AudioEye’s business offerings.
  • Ensure compliance with applicable laws, regulations, and internal policies.
  • Remain connected with outside counsel on items of more specialized nature pertinent to our industry for which outside counsel is required and provide continual review of efficiency and efficiency and effectiveness of these resources.

Technical Litigation Support Function (20%)

  • Review, draft, and oversee preparation of custom and non-custom technical responses to AudioEye clients faced with litigation or demand letters regarding website inaccessibility.
  • Review client contracts to help AudioEye’s third party support function to appropriately respond to client concerns.
  • Lead calls with clients to clients understand AudioEye’s accessibility offering and how it impacts clients’ websites
  • Understand and advise on the digital accessibility legal framework

 Salary: $140,000 - $175,000
