Senior Commercial Counsel

Role Description & Key Deliverables

Bioenergy Devco (BDC) is a developer of anaerobic digestion and composting facilities throughout North America.  BDC is affiliated with BTS Biogas, an Italian company that develops anaerobic digestion facilities in Europe and throughout the world.  The BDC legal team provides support for these operations, including those of its parent holding company.    

The responsibilities of the Senior Commercial Counsel will focus on supporting project development, including drafting and negotiating organic waste agreements, RNG offtake agreements, interconnection agreements, EPC agreements, O&M agreements, and real-property instruments.  The Senior Commercial Counsel would also support general corporate operations and financings at both the project- and parent-company levels.  The Senior Commercial Counsel will report to the General Counsel and be part of a growing legal department that relies upon cross-functionality and a dedication to teamwork.

Responsibilities

  • Under the supervision of the General Counsel, and working directly with BDC’s development, commercial, and finance teams and outside consultants, the Senior Commercial Counsel will perform the following activities:

  • Provide timely, practical legal advice and work product in support of project development, including reviewing, drafting, and/or negotiating:
  • o   Project commercialization agreements, including various forms of organic waste agreements (no term, short-term, and long-term), RNG offtake agreements, gas utility/pipeline RNG interconnection agreements, joint development agreements, and supporting documentation.
  • o   Project acquisition agreements, including asset purchase agreements, membership interest purchase agreements.
  • o   Construction agreements, including front-end engineering & design agreements, EPC agreements, O&M agreements, and bid-related documents, together with term sheets and LOIs supporting the same.
  • o   Real-estate instruments, including various forms of option agreements, purchase and sale agreements, deeds, ground leases, easements, title materials, and supporting documentation.
  • o   Financing agreements, which the Senior Commercial Counsel would support, including all aspects of debt and equity transactions at both the project- and parent-company levels.
  • Provide support for Board, investor, and lender presentations, and assistance with various reporting and regulatory requirements.
  • Provide support on additional matters and special projects from time to time.

Qualifications | Experience

  • Education:  Candidates should have a J.D. from a leading U.S. law school.
  • Work Experience:  Minimum 15 years of prior work experience is desired; a mix of law firm and in-house experience is a plus.  Experience with energy or related industry is preferred, but not required.
  • Critical & Strategic Thinking Skills: A strategic thinker with strong legal research and analytic skills.
  • Team Player with Ability to Work Independently:  A team player working collaboratively with colleagues toward a shared goal, with a corresponding ability to work independently with minimal direction.
  • Organizational Skills:  Pathologically detail-oriented.
  • Multi-tasking:  Highly motivated and willing to take on multiple responsibilities at once, able to set appropriate priorities and deliver efficient results within a deadline-driven environment.
  • Technology:  Proficient computer skills, including the Microsoft Office 365 Suite of programs.
  • Confidentiality:  Ability to handle information discreetly.
  • Location:  Remote position.  
  • Travel:  Opportunities for infrequent travel.

Physical Requirements

  • Must be able to remain in a stationary position for most of the time worked, as the position is online and remote. Ability to operate a computer and other office productivity machinery. Must have the ability to communicate information and ideas so others will understand. Must be able to exchange accurate information in these situations.
